Please carefully read the following Terms of Use policy ("Policy"), as it governs your use of our services. By accessing and using our services, you agree to comply with and be bound by the terms and conditions set forth in this Policy. If you do not agree to these terms, please do not use our services.
1. Description of the Service
The Happy Ai specializes in workflow automation, AI optimization, and software development. We provide customized solutions tailored to our clients' needs using no-code tools, AI tools, and models. These solutions are agreed upon beforehand through specific client agreements.
2. User Obligations
When using our services, you must abide by the following rules and guidelines:
You must not engage in any illegal, abusive, or harmful activities.
You must not violate any applicable laws or regulations.
You must not interfere with third-party platforms used to deliver our solutions.
You must not attempt unauthorized access to any systems or data related to our services.
You must not engage in any activity that disrupts or impairs the experience of other users.
3. Custom Solutions Agreement
Custom solutions provided by The Happy Ai will be detailed in a separate agreement specific to each client.
Clients must provide accurate and complete information regarding their needs and requirements.
Any changes to the agreed-upon solutions must be documented and approved by both parties.
4. Intellectual Property Rights
Ownership of AI Prompts & Automation Scripts
The Happy Ai retains full ownership of any AI prompts, automation scripts, and related intellectual property created as part of the services.
Clients are granted a non-exclusive, non-transferable, royalty-free license to use AI prompts only within the delivered solution for internal business operations.
Clients may not distribute, resell, modify, or use AI prompts outside of this agreement without written permission from The Happy Ai.
The Happy Ai retains the right to reuse, improve, and implement AI prompts in other projects, provided that no confidential client information is disclosed.
Rights to Custom Solutions
The Happy Ai creates custom solutions using third-party no-code tools and AI models.
The Happy Ai does not own the rights to third-party software used in these solutions. The rights to these tools remain with their respective owners.
5. Liability and Indemnification
The Happy Ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruptions, even if advised of the possibility of such damages.
The total liability of The Happy Ai under this Policy shall not exceed the total fees paid by the Client for the services in the six (6) months preceding the claim, except in cases of willful misconduct, gross negligence, or breaches of confidentiality as outlined in the Client Agreement.
By using our services, you agree to indemnify and hold The Happy Ai harmless from any claims, demands, or damages, including reasonable attorney fees, arising from your use of our services or violation of this Policy.
6. Privacy Practices
Our privacy practices are outlined in our separate Privacy Policy. By using our services, you consent to the collection, use, and sharing of your personal information as described in our Privacy Policy.
7. Dispute Resolution
Any disputes arising from or relating to this Policy or your use of our services shall first be attempted to be resolved through good faith negotiations.
If a resolution cannot be reached, disputes shall be settled by binding arbitration under the laws of England and Wales.
The arbitration shall take place in England, United Kingdom, unless both parties agree otherwise.
The decision of the arbitrators shall be final and binding.
8. Changes to the Policy
The Happy Ai reserves the right to update or revise this Policy at any time without prior notice. By continuing to use our services after any changes to this Policy, you agree to be bound by the updated or revised terms.
9. Termination
The Happy Ai may terminate or suspend your access to our services under the following conditions:
If you violate any provision of this Policy or the Client Agreement.
If you fail to make timely payments as per the Client Agreement.
If you misuse, modify, or resell AI prompts in violation of Section 4.
If you breach confidentiality or engage in prohibited activities.
Termination will be effective immediately or with a five (5) day notice period, as determined by The Happy Ai. If terminated, you will no longer have access to any custom solutions or associated data.
10. Late Payment Policy
The Client agrees to make full payment within fourteen (14) days of receiving an invoice from The Happy Ai.
In the event of late payment:
A late fee of 5% per month shall be applied to any outstanding balance until full payment is received.
If the Client fails to make payment within thirty (30) days, The Happy Ai reserves the right to suspend any ongoing or future work until payment is made in full.
If payment remains outstanding for more than sixty (60) days, The Happy Ai may pursue legal action or engage a collections agency to recover the unpaid amount.
The Client shall be responsible for any reasonable costs incurred in recovering unpaid fees, including but not limited to legal fees and collection agency costs.
11. Use of No-Code and AI Tools
Our services may utilize no-code tools and AI models to deliver custom solutions.
Users must adhere to the terms of use specific to these tools.
Users must ensure they have the necessary rights for any data or content used with these tools.
